CANADIAN BUISNESS LAW ASSIGNMENT

A business involves the production of goods or services and the management of the business.  Take Apple for example; it designs, manufactures and sells iPhones and computers – that’s the production side of Apple.  But to be successful at producing these goods, Apple has to manage its business.  Apple has to hire and manage staff, negotiate supply contracts, prepare financials and taxes, and legally protect its trademarks, copyright and patents – that’s the management side.  A big part of the management of any business is identifying and managing legal risks. 

Throughout the semester, you and a partner will complete 3 assignments (each worth 20%) addressing the various legal risks a business faces.  All 3 assignments will focus on a business that you will imagine in Assignment #1. All 3 assignments will be completed with the same partner.  You may choose your own partner.  You may not work by yourself.

You and your partner will create an Adobe Creative Cloud Express (“Adobe”) web page for Assignment #1, and then for Assignments 2 and 3, you will add to your existing web page  (so you will only create one Adobe web page, and just add to it for each subsequent Assignment).  For Assignments #1 and 3, you and your partner will also have a ten-minute discussion with me about the law and the legal risks for your business.

Assignment #1 will cover Chapters 1 – 5.  In this assignment, you will introduce your business and address dispute resolution, tort and contract law issues and related risk management strategies. This assignment is worth 20% of your final grade.

Please see the sample web page that I have created, addressing Part 1 of the assignment. You cannot use the same words/examples that I used in Lisa’s Lunches or specific examples discussed in class.

WEB PAGE (30 Marks)

Part 1 – Introducing your business (5 marks)

You and your partner will imagine a Canadian business that sells a sustainable product (you may not use a real company).  In class in Week 2, we discussed examples of sustainable products. Using Adobe, you and your partner will create a web page that identifies the following information:

  1. Your business’ name. (1 mark)
  2. What your business produces and/or sells (not a service). (1 mark)
  3. How your business’ product is sustainable. In your answer, you must identify at least one Sustainable Development Goal (“SDG”) your product supports/reflects and explain how it reflects this goal.  Here is a link to the UN Sustainable Development Goals (2 mark)
  4. Your business’ logo. (You can create your own logo or choose an existing company’s logo, like Nike’s swish; you just have to identify which company’s logo it is in brackets or at the bottom of your web page) (1 mark)

Part 2 – Tort Law (10 marks)

You and your partner will imagine a situation in which your business is sued for the tort of negligence, and you will create a short video (no more than 2 minutes) in which you film the potential situation or hazard that leads to the negligence claim. For example, if your business is a clothing company, maybe the hazard is a toxic chemical used in the fabric dye, or if your business is a store, maybe it is broken step that a customer can trip on.

Do not actually put yourself in any danger – please do not actually trip or slip! Just film a scene that shows the potential hazard and explain why it is a hazard.  (5 marks – 2.5 for content, 2.5 for creativity)

You will upload the video to your web page and answer the following questions in writing:

  1. Identify the specific type of negligence in your video. (1 mark)
  2. Identify each step in the 4-part legal test for negligence and explain how each step applies to your situation. (4 marks)

Part 3 – Contract Law (10 marks)

You and your partner will imagine a situation in which your business has entered into a contract with a supplier or a customer, and the supplier/customer has breached the contract. Please answer the following questions in writing in your web page:

  1. Describe the breach of contract. Your answer should identify:
    1. What the contract is about – be specific
    1. How the contract has been breached- be specific (2 marks)
  2. Explain whether your claim would be for breach of a condition or breach of a warranty. In your answer, explain the difference between a condition and a warranty and why this is important. (3 marks)
  3. If you were to sue for breach of contract, what remedy/remedies would you seek? Be specific and explain each remedy. (2 marks)
  4. If you wanted to avoid litigation, what other form of dispute resolution could you use to resolve your issue with your supplier/customer? Identify an appropriate dispute resolution process and give 2 reasons why you have chosen this process. (3 marks)

Overall creativity (5 marks)

As you are creating a webpage and using video, and not simply providing a word document, please be creative – add pictures (there are lots of free ones)

ORAL DISCUSSION (20 marks)

You and your partner will meet with me over Zoom to have a ten-minute discussion about tort law, contract law and your business.  Please prepare for this discussion.  You can expect questions about:

  • the legal test for negligence and potential defences
  • strategies that the business can use to minimize the risk of negligence claims. Be prepared to discuss 2 different steps that your business can take.
  • your potential breach of contract claim
  • clauses that you could include in your contracts to reduce or even eliminate the risks of your business being sued for breach of contract. Be prepared to discuss 2 different contract clauses.

The schedule for our discussion is posted below.  [Please note that some of the discussions are scheduled outside of class time, because there are more groups than actual class time.]  If you are unable to attend at the assigned time, you must let me know before 5 pm on Friday February 10 so that I can reschedule your meeting. If you miss your assigned time and do not contact me in advance, you will receive a 0 on this part of the assignment.

If you do not submit the web page on the due date, you will not be able to do the oral discussion and you will receive a mark of 0 on the entire assignment.

  • You and your partner will work together to create the web page and answer all the questions
  • Please do not simply divide up the questions between each other – work together to answer them
  • If one partner does not fully contribute, then the partner who does not contribute will receive zero
  • If one partner does all the work and submits the Adobe web page identifying that both partners completed it, this is a violation of Seneca’s Academic Integrity Policy
  • Please ensure that you alert me to any problems in advance and not after the Assignment is completed.
